I do not think Dana will do this fight without a big name from the boxing world like Mayweather. Why put Sherk's title and reputation on the line against a guy nobody has ever heard of? Also, I would be pissed if I was the #1 contender and Dana put a deal together ahead of me for a boxer.
The BIG question is: Will the NSAC even sanction such a fight?
I am willing to guess no.

I doubt any athletic commission would have an issue with sanctioning such a fight. Both guys have adequate fight experience and there are many disciplines in mma, so if Dana was to get it signed, it would definitely happen.

I have heard of him but I don't think Dana would pay anybody not named Floyd Mayweather Jr any more than $1 mil.

But a boxing fan would say the same about Sherk. Why should Mayweather fight someone nobody's even heard of?
I think NSAC would sanction it. If they'd let Tito and Dana fight....

See your first point.
As for the second...I know I read that the NSAC said that they would never sanction it again, so dont ask them to. That might have been from Tito's "no show" though and it caused them to crap.
IMHO, I do not think they would because Mayweather is just a boxer and has no ground skills at all. I would think they would view this as two uneven opponents based on this factor, and would not put their stamp on it.
I could be very wrong.
Just seems to me that the NSAC are cracking down more and more to make sure opponents are evenly matched.

Yes, you have a point. They may not like it at all from a safety perspective.
Or if they're boxing fans who've seen Sherk fight, maybe they'd want to protect boxing's rep.

I believe Sherk's walking around weight is 175. He's probably between 165 and170 on fight day. No doubt Cintron weighs more than 147 at fight time.

I am reading a live chat on ESPN.com right now and Dan Rafael says that the fight could be interesting. Said that Cintron has a strong wrestling background.
